What We Cover

Commercial Development Services

Option Agreements

Conditional Contracts

Advising on conditional contracts where completion is subject to planning, vacant possession or other conditions being satisfied.

Overage & Clawback

Drafting and negotiating overage provisions to protect sellers' interests in future development uplift, and advising developers on the impact of overage obligations.

Development Funding

Acting on development finance facilities, including reporting to lenders, drawdown conditions and monitoring requirements.

Site Assembly

Advising on the acquisition of multiple plots or interests to assemble a development site, including dealing with ransom strips and access rights.

Development Disposals

Acting on the sale of completed developments, including plot sales, commercial unit disposals and portfolio transactions.

Our Approach

Advising With an Eye on the End Game

Development transactions require legal advice that looks beyond the immediate transaction. We advise on the full lifecycle — from site acquisition through to disposal — with commercial awareness at every stage.

Exit Strategy

We advise with an eye on exit — whether that is a sale, refinancing or long-term hold. The right structure at the outset protects value at exit.

Tax Efficiency

We work with your accountants to ensure the transaction structure is tax-efficient, including SDLT planning and VAT considerations.

Future Marketability

Title issues, overage obligations and restrictive covenants can affect future marketability. We identify and address these at the outset.

Planning Risk

We advise on the legal implications of planning conditions and obligations, including Section 106 agreements and CIL.
